نگاهی نو به مفهوم شخص حقوقی با تأکید بر تخصیص شناسۀ ملی به اشخاص حقوقی

چکیده

در قوانین ایران و بسیاری از نظام‌های حقوقی، شخص حقوقی تعریف نشده است. در برخی مقررات مربوط به شناسۀ ملی تعریف‌هایی ارائه شده که جامع و مانع نیستند. در دکترین نیز در این باره اتفاق‌نظر وجود ندارد. اجمال مفهوم شخص حقوقی سبب ابهام در انجام تکالیف قانونی می‌شود. برای نمونه اشخاص حقوقی باید شماره‌ای یکتا تحت عنوان «شناسۀ ملی» دریافت کنند. نهاد متولی تخصیص شناسۀ ملی باید شخصیت حقوقی متقاضی را احراز کرده و سپس اقدام به تخصیص شناسۀ ملی کند و ابهام در شناسایی اشخاص حقوقی موجب ابهام در تخصیص شناسۀ ملی به بسیاری از متقاضیان شده است. این امر ارائۀ تعریفی جامع از شخص حقوقی را ضروری می‌نماید. ازاین‌رو، هدف این مقاله تبیین مفهوم شخص حقوقی جهت رفع مشکلات عملی از جمله در فرایند تخصیص شناسۀ ملی به اشخاص حقوقی است. سؤال اصلی مقاله این است که مفهوم شخص حقوقی چیست؟ در این پژوهش با روش تحلیلی- توصیفی و با رویکرد تطبیقی شش عنصر برای شخص حقوقی شناسایی شده که عبارت‌اند از: اجتماع دسته‌ای از اشخاص یا اموال، وجود منافع و فعالیت مشترک برای اشخاص، اختصاص برخی اموال به هدف خاص یا اجتماع برخی اشخاص برای هدف خاص، اجتماع حقوق مالکان یا شرکا به‌نحو اتحاد، تشکیل در قالب قانونی و رعایت ضوابط آن و شناسایی شخصیت حقوقی به حکم قانون (عنصر قانونی). در نهایت بر اساس این شش عنصر، شخص حقوقی تعریف و این نتیجه حاصل شد که بر اساس این عناصر و تعریف ارائه‌شده، باید دستورالعمل تخصیص شناسۀ ملی اصلاح شود

چکیده [English]

The concept of a legal person lacks a clear definition in Iranian law and many other legal systems. While certain regulations related to national identifiers provide definitions, these are often incomplete or overly restrictive. Scholarly discourse also reflects a lack of consensus on the concept. This ambiguity creates uncertainty in fulfilling legal obligations. For instance, legal entities are required to obtain a unique identifier known as the "National ID." The institution responsible for issuing the National ID must verify the applicant’s legal personality before assignment, and the absence of a clear definition of a legal person has led to confusion in the allocation process for many applicants. This necessitates the development of a comprehensive definition of a legal person. The purpose of this article is to elucidate the concept of a legal person to address practical challenges, particularly in the assignment of national identifiers to legal entities. The central question of the study is: What constitutes a legal person? Using an analytical-descriptive method with a comparative approach, this research identifies six elements of a legal person. Based on these elements, a definition of a legal person is proposed, and it is recommended that the guidelines for assigning National IDs be revised accordingly.
